1. Introduction – Terms & Conditions
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Chain-Fi Limited ("Chain-Fi," "we," "us," or "our"), a company registered in the United Kingdom, governing your access to and use of our professional software development services.
By using our services or entering into an agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are not permitted to use our services.
2. Service Description
Chain-Fi provides professional software development services including but not limited to:
Development Services:
- • Custom Web Development
- • Mobile App Development
- • Blockchain Development
- • Enterprise Software Solutions
Technical Services:
- • SEO Optimization Services
- • Cloud Infrastructure Services
- • DevOps and Server Management
- • Technical Consultancy
Note: Specific project details, deliverables, timelines, and costs are defined in separate project agreements or statements of work.
3. Client Responsibilities
As a client, you are responsible for:
- • Providing accurate, complete, and timely project information
- • Providing timely feedback and approvals
- • Providing access to necessary systems, accounts, and resources
- • Paying invoices according to agreed payment terms
- • Respecting third-party intellectual property rights
- • Complying with all applicable laws and regulations
4. Intellectual Property
4.1 Work Ownership:
Unless otherwise agreed in a separate agreement, all intellectual property rights in custom work developed specifically for you will be transferred to you upon full payment. This includes source code, documentation, and project-specific designs.
4.2 Chain-Fi Ownership:
Chain-Fi retains ownership of all pre-existing intellectual property, methodologies, frameworks, tools, and general knowledge used in delivering services.
4.3 Third-Party Licenses:
Some projects may include open-source software or third-party components. These remain subject to their respective licenses. We will inform you of such dependencies and their license requirements.
5. Payment Terms
5.1 Billing:
- • Payment terms are specified in individual project agreements
- • Standard payment terms are 30 days from invoice date
- • Milestone payments may be arranged for larger projects
- • All prices are exclusive of VAT unless otherwise stated
5.2 Late Payment:
For late payments, we reserve the right to charge interest at 8% per annum above the Bank of England base rate and suspend work until payment is received.
6. Confidentiality
We commit to protecting all confidential information provided during the execution of our services. This includes business information, technical specifications, user data, and other sensitive information.
Confidential information will only be used for delivering agreed services and will not be shared with third parties without your explicit written consent, except where legally required.
7. Limitation of Liability
IMPORTANT LIABILITY LIMITATION:
To the maximum extent permitted by law, our total liability to you for all claims is limited to the amount you have paid to Chain-Fi for the specific services giving rise to the claim during the 12 months preceding the event.
We are not liable for:
- • Indirect, incidental, or consequential damages
- • Loss of profits, data, or business interruption
- • Damages caused by factors beyond our reasonable control
- • Use of third-party software or services
8. Warranties and Support
8.1 Workmanship Warranty:
We warrant that all work will be performed to professional standards and in accordance with agreed specifications. Defects in workmanship will be corrected at no charge for 90 days after delivery.
8.2 Support:
Post-delivery support and maintenance services can be arranged under separate service level agreements. Standard email support is available for 30 days after project delivery.
9. Termination
Either party may terminate a project with written notice:
- • Immediately for material breach of these terms
- • With 14 days notice without cause (for ongoing projects)
Upon termination, you are obligated to pay all outstanding invoices for completed work up to the termination date. Completed deliverables will be transferred upon full payment.
10. Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the English courts.
11. Changes to Terms
We reserve the right to update these terms periodically. Significant changes will be communicated via email or prominent notices on our website. Continued use of our services after such changes constitutes acceptance.
